By accessing or using Bookstock AI ("the Service"), you agree to be bound by these Terms of Use. If you do not agree to these terms, you must not use the Service. Bookstock AI is operated from New Zealand and these terms are governed by New Zealand law.

2. Description of Service

Bookstock AI is a desktop-based inventory analysis tool that processes uploaded inventory data to provide insights including stock levels, days on hand calculations, margin analysis, and trend visualisation. The Service is provided as a Software as a Service (SaaS) platform accessible via web browser.

3. User Accounts

To access certain features, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorised use of your account.

4. Permitted Use

You may use Bookstock AI solely for lawful business purposes related to inventory analysis. You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Attempt to gain unauthorised access to any part of the Service
• Interfere with or disrupt the Service or servers
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated systems to access the Service without permission
• Resell or redistribute the Service without authorisation

5. Data Processing

Bookstock AI is a desktop analysis tool. Your inventory data is processed locally in your browser session and is not permanently stored on our servers. When your session ends or you close the browser, your uploaded business data is deleted. We do not retain copies of your inventory, sales, or stock data.

6. Intellectual Property

All content, features, and functionality of Bookstock AI, including but not limited to text, graphics, logos, and software, are owned by Bookstock AI and protected by intellectual property laws. You retain ownership of any data you upload to the Service.

7. Subscription and Payment

Certain features require a paid subscription. By subscribing, you agree to pay all fees associated with your chosen plan. Subscription fees are billed in advance on a recurring basis. You may cancel your subscription at any time, but cancellation will take effect at the end of your current billing period.

8. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind. We do not warrant that the Service will be uninterrupted, error-free, or secure. The analysis provided is for informational purposes only and should not be relied upon as the sole basis for business decisions. You are responsible for verifying any insights or recommendations.

9. Limitation of Liability

To the maximum extent permitted by New Zealand law, Bookstock AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the amount paid by you for the Service in the twelve months preceding the claim.

10. Consumer Guarantees Act

If you are acquiring the Service for business purposes, you agree that the Consumer Guarantees Act 1993 (New Zealand) does not apply. If you are a consumer as defined by the Act, nothing in these terms limits your rights under that legislation.

11. Modifications to Terms

We reserve the right to modify these Terms of Use at any time. Changes will be effective immediately upon posting. Your continued use of the Service after changes constitutes acceptance of the modified terms.

12. Termination

We may terminate or suspend your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of New Zealand. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts of New Zealand.
